THIS INTERNET MARKETING AGREEMENT (“this Agreement”) is made by and between the LITHUANIAN TRADE COUNCIL, INC., a Maryland corporation, of 851 Hollins Street, Baltimore, MD 21201, hereinafter referred to as ”LTC,” and registered Supplier, a company located at the address completed in the registration process, hereinafter referred to as “SUPPLIER”.

For and in consideration of services to be performed by LTC, SUPPLIER hereby contracts with LTC as an online sales platform to sell SUPPLIER’s products over the internet on an account specific basis, subject to the following terms and conditions:


Except as otherwise defined herein, the following terms shall have the meaning set forth below:

(a) The term “LMP” shall mean products listed by SUPPLIER and made available for sale on the LITHUANIAN MARKETPLACE website, a sales platform having the internet URL; and products listed on the NATION MARKETPLACE website;, available under the country of Lithuania   

(b) The term “Account(s)” shall mean the business relationship with, and sales to, any Account globally that come from the LMP.

(c)  The term “Cost and Fees” shall mean the service is free as provided in Section Three of this Agreement.

(d) The term “Product” or ”Products” shall refer to those products listed on the LMP and sold by SUPPLIER.  SUPPLIER reserves the right to add, change or delete the Products at any time.  


LTC shall provide SUPPLIER with the ability to list its Product onto the LMP for “Export Promotion” as a method to acquire direct sales and new customer relationships it may not have otherwise found.  Upon execution of this Agreement, the LTC will provide administration rights to the SUPPLIER to upload their Products onto the LMP with the intent of developing new sales. All buyer inquiries that the LMP receives will be forwarded to the SUPPLIER for follow up with the Account.

3.  COST and FEES

During the term of this Agreement, SUPPLIER will NOT be charged any listing fees, membership fees or commission on Product sales. The LTC is simply offering its services to the SUPPLIER at no cost.  Our mission is to help Lithuania businesses increase global exports for long-term prosperity.     .  


SUPPLIER will not publish any content on the LMP that is considered inappropriate, misleading or offensive. The LMP reserves the right to remove such information at any time.  In addition, SUPPLIER will indemnify LTC and pay LTC for all attorney fees and cost related to claims of faulty products that cause harm, injury or death to any person or entity who includes the LTC in a 3rd party lawsuit.    


This Agreement shall begin when SUPPLIER’s products are available for sale on the LMP and shall terminate when all products are removed from the LMP. After the termination of this Agreement, neither party shall have any obligations to the other.



LTC and SUPPLIER, mutually agree to hold all proprietary  information and its customers confidential (including but limited to information regarding processes,  data,  documentation,  know-how,  improvements,  discoveries,  developments and any other information  of a similar nature not available  to the public, whether oral or written, for its own benefit, or the benefit of any third party.  The obligation to maintain the confidentiality of such proprietary information shall survive the termination of this Agreement.  


It is agreed that this Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Maryland.


 This Agreement shall constitute the entire Agreement between the parties of any prior understanding or  representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement.


This Agreement is executed upon the Supplier checking the box in the registration process confirming they have read this agreement and agree to all terms and condition, all of which together shall constitute one Agreement binding on the parties.
